
Andrew Doup founded SyndicationCounsel LLC to focus exclusively on advising clients on how to organize and invest into the next generation of business ideas through private equity, venture capital, and real estate syndications.
Andrew has more than 15 years of experience advising high-stakes decision-makers on how to achieve their objectives by managing the risk of uncertainty. His practice focus is federal and state regulation of exempt securities offerings, advising company founders, real estate developers, fund managers, and private investors on limited liability companies, limited partnerships, private placement memorandums, subscription agreements, and SEC and state blue sky filings, across a broad range of industries and asset classes.
In 2018, Andrew established a cross-disciplinary practice to explore how federal tax reform could incentivize the investment of private equity into the communities that need it most. He has since advised clients on over $1 billion in private investment into low-income census tracts dubbed “opportunity zones.” What started as a local niche practice has since grown into an award-winning practice: Andrew is a nationally-ranked Top 25 attorney for opportunity zones transactions by a leading industry trade group.
A national award-winning attorney and decorated combat veteran, Andrew approaches problems with a combination of creativity and attention-to-detail that enables his clients to make business decisions with confidence. As a former corporate law firm partner, he takes special interest in identifying generational changes in the law, imagining how they can improve the well-being of clients, colleagues, and the community, and leading collaborative efforts across a diverse group of stakeholders to make these ideas a reality.

Prior to joining the legal profession, Andrew served as a U.S. special operations intelligence officer supporting humanitarian, hostage rescue, and counter-terrorism missions worldwide. He was awarded the Bronze Star for exceptionally meritorious achievement as the Director of Intelligence of a special mission unit in Afghanistan. Andrew continues his military service on a part-time basis as a Lieutenant Colonel in the Ohio National Guard.
Andrew spends his time offline with his wife raising four young children; camping, traveling, and volunteering to organize and coach youth teams on sportsmanship and the values of integrity, teamwork, and excellence.
